
Voltas has approved a binding term sheet with Atomberg Innovation Private Limited to establish a 50:50 joint venture for manufacturing air-conditioner compressors in India. The proposed venture will have a five-member board, with Voltas nominating three directors and Atomberg nominating two. Voltas currently does not hold any equity in Atomberg Innovation.
The agreement advances a manufacturing initiative that Voltas has been evaluating for several years. At its June 2026 annual general meeting, the company said it was reviewing plans for a domestic compressor operation and could take a decision in the near term. Voltas had earlier explored establishing a compressor venture with a Chinese partner, but that proposal did not move forward after the required regulatory approval was not obtained.
Compressors are a key component of room air conditioners, and Voltas has identified local production as a priority for backward integration. The company currently manufactures complete cooling products but continues to rely on external suppliers for compressors. Chairman Noel Tata said in June that management was evaluating the category after largely completing capital expenditure for its major room-air-conditioner manufacturing facility in southern India.
Atomberg brings expertise in brushless direct-current motors, controllers and appliance electronics. Through Atomberg Innovation, the company has expanded beyond its consumer fan business into business-to-business manufacturing for air conditioners, refrigerators and washing machines. It has already supplied motors and controllers to appliance manufacturers, including Voltas and Godrej.
Atomberg has also developed what it describes as an indigenously designed rotary compressor for air conditioners. Its component-manufacturing programme is supported by a new Pune facility focused on electronics and motor production. Earlier disclosures put the proposed investment in the manufacturing operation at approximately ₹150 crore to ₹200 crore, although the companies have not disclosed the capital structure, location, production capacity or implementation timeline for the proposed Voltas joint venture.
Voltas’ board approval relates to a binding term sheet and does not represent completion of the transaction. Establishment and operation of the joint venture will depend on definitive agreements, regulatory processes and subsequent implementation decisions. The current disclosure does not specify the compressor models that would be manufactured, their localisation level, target customers or whether the venture would supply third-party appliance brands in addition to Voltas.
The proposed ownership and board structure indicate an intention to combine Voltas’ market position and appliance-manufacturing scale with Atomberg’s expertise in motors, controllers and compressor engineering. The venture also follows Voltas’ efforts to develop its cooling portfolio around energy efficiency and intelligent controls, including AI-assisted adaptive cooling, geofencing and energy-management features introduced in its 2026 product range.
