Blue Cloud Softech Signs Conditional Deal to Acquire US Healthcare-AI Group CareTech

Hyderabad-based Blue Cloud Softech Solutions has signed a letter of intent to acquire CareTech AI Inc., a US healthcare technology and workforce-services group, through a proposed share-swap transaction. The preliminary agreement also covers CareTech AI’s wholly owned subsidiaries, CareCareer Tech LLC and Envision NJ LLC.

Blue Cloud proposes to issue equity shares to the target company’s stakeholders through a preferential allotment. The parties have not yet determined the final consideration, exchange ratio or number of shares to be issued. Those terms will depend on due diligence, an independent valuation and the negotiation of definitive transaction documents.

The letter of intent is therefore an initial, conditional step rather than a completed acquisition. Closing will require satisfactory financial, legal and operational due diligence, a fairness opinion, execution of binding agreements and approvals from shareholders, stock exchanges and relevant regulatory authorities. Blue Cloud has authorised the appointment of a Securities and Exchange Board of India-registered valuer, a merchant banker and due-diligence advisers to support the process. The proposed share swap remains subject to these conditions and final documentation.

CareTech’s management has stated that the target group generated consolidated revenue of $67.7 million for the period ended July 31, 2026. The disclosure does not establish the target’s profitability, cash generation, debt position or audited valuation, and Blue Cloud has not published the prospective ownership dilution that would result from the preferential issue.

The proposed transaction is designed to combine Blue Cloud’s healthcare-AI platforms with CareTech’s US clinical workforce and customer relationships. Blue Cloud develops software across healthcare technology, artificial intelligence, cybersecurity, cloud services and digital transformation. Its healthcare portfolio includes the BluHealth screening platform and BioSter sterilisation technology, while its wider product portfolio includes Altezza, Proxzar and Cyber Falcon.

CareTech’s operating presence would provide a potential distribution and implementation channel for those products in the US healthcare sector. Bringing the technology and service operations under common ownership could also allow the Indian company to integrate AI-led screening, workflow and data tools into existing clinical engagements, subject to customer acceptance and healthcare compliance requirements.

Blue Cloud has pursued an expansion strategy involving international technology contracts and acquisitions. Its recent activities have included AI infrastructure, telecommunications, cybersecurity and public-sector digital projects, along with the acquisition of US-based operations. The CareTech proposal would add a larger healthcare-focused business and associated workforce network to that portfolio.

Several material elements remain unresolved. The final valuation will determine the size of the preferential allotment and the resulting effect on Blue Cloud’s capital structure. The due-diligence process must also validate CareTech’s reported revenue, customer arrangements, regulatory exposure and operating liabilities. Until definitive agreements are executed and the required approvals are secured, the transaction should be treated as proposed rather than assured.
