Adani Enterprises and Jabil Formalise Proposed 50:50 AI Hardware Venture

Adani Enterprises and global manufacturing-services company Jabil have signed a non-binding memorandum of understanding outlining a proposed equal joint venture to manufacture and assemble artificial-intelligence and data-centre equipment in India. The agreement advances an alliance first announced in June and defines a potential operating structure for a multi-gigawatt AI infrastructure manufacturing platform.

The proposed venture would manufacture integrated infrastructure covering AI racks, servers, storage and networking equipment, along with the power and cooling systems required to operate high-density compute installations. The companies plan to combine Jabil’s engineering, supply-chain management and electronics-manufacturing capabilities with the Adani Group’s energy, logistics, infrastructure and data-centre businesses.

Adani Enterprises and Jabil intend the platform to supply hyperscale cloud providers, neocloud companies, colocation operators and large enterprises. Its output would serve both Indian deployments and international customers, positioning the manufacturing base as an export platform rather than a facility limited to domestic data-centre projects.

Technical plans referenced by the companies include next-generation liquid-cooled AI racks, surface-mount manufacturing and complex systems-integration processes. Liquid cooling is becoming increasingly important as accelerated-computing clusters require higher rack densities and generate substantially more heat than conventional enterprise servers. An integrated operation spanning rack assembly, networking, power distribution and thermal management could allow the venture to deliver complete systems rather than individual components.

The companies estimate that India’s installed data-centre capacity could reach between 5 GW and 8 GW by 2030, supported by more than $50 billion in planned spending across hyperscale data centres, cloud services and AI infrastructure. Their stated global opportunity exceeds $3 trillion over the next seven years, although the venture’s eventual production capacity, investment value, factory locations and commissioning timetable have not yet been disclosed.

The memorandum remains subject to definitive agreements, applicable regulatory approvals and customary closing conditions. It therefore establishes the commercial framework for the venture but does not represent a completed transaction.

For Adani Enterprises, the venture would expand its position from supplying energy and hosting data-centre capacity into manufacturing the physical systems used inside AI facilities. Jabil would gain access to a large infrastructure platform and an India-based production route at a time when customers are seeking geographically diversified supply chains for servers, networking systems and advanced cooling equipment.
