
Persistent Systems has announced plans to acquire Nagarro SE in a deal that will create a combined IT services and digital engineering group with approximately USD 2.9 billion in revenue.
Under the proposed transaction, Persistent Systems will pay EUR 81 in cash per Nagarro share, representing a premium of nearly 140 per cent over Nagarro’s undisturbed share price.
Persistent has already secured around 21 per cent ownership in Nagarro as part of the transaction process. The acquisition is expected to close by early 2027, subject to regulatory approvals and other customary conditions.
Nagarro employs approximately 18,500 professionals globally and reported revenue of around EUR 1 billion in 2025. The company has built strong capabilities across digital engineering, enterprise applications, cloud transformation, AI services, and software development.
The acquisition is expected to significantly strengthen Persistent Systems’ global delivery footprint, enterprise customer base, engineering capabilities, and AI-driven digital transformation offerings.
Commenting on the deal, Persistent CEO Sandeep Kalra said, “The next wave of enterprise transformation will be defined by AI, engineering excellence, and global scale.”
The transaction reflects ongoing consolidation across the global IT services and digital engineering industry as companies seek greater scale, AI expertise, cloud capabilities, and broader international market access amid rapidly accelerating enterprise technology spending.
The combined entity is expected to expand capabilities across artificial intelligence, software engineering, enterprise modernization, cloud infrastructure, digital operations, and platform engineering as global enterprises continue investing heavily in AI-led business transformation initiatives.
The acquisition also highlights increasing competition among global technology services companies to strengthen their positions in AI, digital engineering, and enterprise modernization as organizations worldwide accelerate adoption of automation, generative AI, analytics, and intelligent enterprise systems.
